Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the SoundCannonU platform ("the Platform") at soundcannonu.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

These Terms constitute a legally binding agreement between you and Sound Cannon LLC ("Sound Cannon," "we," "our," or "us"). We reserve the right to update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.


2. Description of Service

SoundCannonU is an online music education platform offering:

SoundCannonU is sponsored by XME Inc. References to "Powered by XME Inc." identify that sponsorship relationship. Unless a separate written agreement says otherwise, XME Inc. is not responsible for operating user accounts, moderating user conduct, providing support, or making promises about the Platform.


3. Eligibility and Accounts

Students must be under 18 years of age and enrolled through a parent or guardian's account. By creating a parent account and adding a student, you confirm that you are the parent or legal guardian of that student and that you consent to their use of the Platform.

Parents and guardians must be at least 18 years of age to create an account. You are responsible for your student's conduct on the Platform, including any content they create or share.

5. Intellectual Property

All content on the Platform โ€” including but not limited to video lessons, lesson notes, quiz content, design elements, graphics, code, the Beat Lab interface, and branding โ€” is owned by or licensed to Sound Cannon LLC and is protected by applicable intellectual property laws.

Student-created beats: Students retain ownership of the beat patterns they create and save in the Beat Lab. However, by saving a beat to the Platform, students grant Sound Cannon LLC a limited, non-exclusive, royalty-free license to display, store, and transmit that beat pattern for the purpose of providing the service (e.g., syncing saved beats across sessions).

Samples and third-party sounds: Students are responsible for using sounds, loops, vocals, and video clips they have permission to use. Lessons may teach sampling concepts, but that does not grant rights to commercial songs, recordings, videos, or other third-party material.

You may not reproduce, distribute, modify, or create derivative works from Sound Cannon content without explicit written permission from Sound Cannon LLC.


6. Student Content and Community Features

Students may create beats, usernames, display names, activity, reactions, and other limited content inside the Platform ("User Content"). You are responsible for User Content submitted through your account or your student's account.

By submitting User Content, you grant Sound Cannon LLC a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, transmit, and adapt that content only as needed to operate, secure, and improve the Platform, or as otherwise authorized by a parent or guardian.


7. Privacy and COPPA Compliance

We collect and process personal information as described in our Privacy Policy. SoundCannonU is COPPA-compliant. We do not collect personal information from children under 13 without verified parental consent. All student accounts are created and managed by parents through parent accounts.


8. Payments, Subscriptions, and Beta Access

SoundCannonU is currently in free beta. Full access to all available content is provided at no charge during this period. We reserve the right to introduce subscription plans, pricing tiers, or premium features in the future. Registered users will be notified via email before any free access period ends or payment is required.

Features, lessons, games, rewards, availability, and account limits may change during beta. We may add, remove, suspend, or modify any part of the Platform at any time.


9. Third-Party Services and Links

The Platform may include links, embeds, fonts, media players, email tools, hosting providers, payment providers, or other third-party services. Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party websites, content, products, services, security, or data practices.


10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement. Sound Cannon LLC does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

Educational results vary by student. We do not guarantee any specific learning outcome, musical skill level, performance opportunity, credential, or professional result.


11. Limitation of Liability

To the fullest extent permitted by applicable law, Sound Cannon LLC, XME Inc., and their respective owners, officers, directors, employees, contractors, licensors, sponsors, partners, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of data, loss of profits, loss of goodwill, account interruption, device damage, or service interruption, arising from your use of or inability to use the Platform.

In no event shall Sound Cannon LLC's total liability to you for all claims arising from or related to the Platform exceed the amounts paid by you to Sound Cannon LLC in the twelve (12) months preceding the claim, or $100 USD, whichever is greater. Some jurisdictions do not allow certain exclusions or limits, so some of these limits may not apply to you.


12. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Sound Cannon LLC, XME Inc., and their respective owners, officers, directors, employees, contractors, licensors, sponsors, partners, and agents from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your or your student's use of the Platform, User Content, violation of these Terms, violation of law, or infringement of another person's rights.


13. Account Suspension and Termination

We may suspend, restrict, or terminate access to the Platform at any time if we believe an account has violated these Terms, created risk for other users, infringed rights, compromised security, or caused legal or operational concern. You may stop using the Platform at any time and may request account deletion as described in the Privacy Policy.


14. Copyright Complaints

If you believe material on the Platform infringes your copyright, contact us with a description of the copyrighted work, the allegedly infringing material, your contact information, a statement that you have a good-faith belief the use is unauthorized, and a statement that your notice is accurate. We may remove or disable access to material we believe may infringe.


15. Disputes, Governing Law, and Class Waiver

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Before filing a claim, you agree to contact us and try to resolve the dispute informally for at least 30 days.

To the fullest extent permitted by law, any dispute must be brought individually and not as a plaintiff or class member in any class, consolidated, representative, or private attorney general action. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Texas, unless applicable law requires another forum.


16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes.
